OUR GOVERNING COUNCIL CONSTITUTION
1. Purpose and Objectives: The constitution defines the purpose and objectives of the governing council, outlining its role in providing strategic direction, oversight, and governance to the university.
2. Powers and Responsibilities: It delineates the powers and responsibilities of the governing council, including but not limited to:
· Appointment, evaluation, and removal of the vice-chancellor.
· Approval of the university's strategic plan, budget, and major policies.
· Oversight of academic programs, research activities, and institutional performance.
· Establishment and dissolution of academic units, faculties, and departments.
· Protection and management of the university's assets, including finances, properties, and intellectual property.
· Compliance with legal and regulatory requirements governing higher education.
3. Membership: The constitution specifies the composition, appointment procedures, terms of office, and qualifications of council members.
4. Meetings and Decision-Making Processes: It outlines the procedures for calling meetings, preparing agendas, conducting deliberations, and making decisions.
5. Code of Conduct and Conflict of Interest Policies: The constitution may include provisions for ensuring ethical conduct, transparency, and accountability among council members, as well as mechanisms for addressing conflicts of interest.
6. Amendments and Dissolution: Procedures for amending the constitution and circumstances under which the governing council may be dissolved are typically included.
Membership:
1. Chairperson: The chairperson of the governing council is often appointed by the government (for public universities) or the board of trustees (for private universities). The chairperson presides over council meetings and provides leadership and direction to the council.
2. Vice-Chairperson: The vice-chairperson may assist the chairperson in their duties and act in their absence.
3. External Members: These individuals are appointed based on their expertise, experience, and standing in various sectors such as academia, industry, government, and civil society. They bring diverse perspectives and may include prominent alumni, business leaders, community representatives, legal experts, and government officials.
4. Internal Members:
· University President or Vice-Chancellor: The chief executive officer of the university serves as a member of the council ex officio.
· Senior Administrative Officers: This may include vice-presidents, provosts, deans, and other senior administrators.
· Faculty Representatives: Elected representatives from the university's faculty or academic senate.
· Student Representatives: Elected representatives from the student body, often including undergraduate and graduate students.
· Staff Representatives: Elected representatives from university staff members, including non-academic and academic staff.
5. Secretary: The council secretary, usually appointed by the chairperson, is responsible for managing administrative tasks related to the council, including scheduling meetings, preparing agendas, recording minutes, and maintaining records.
